Terms of Service
The orda.africa platform is made available to Users (defined below) by Moniepoint Microfinance Bank Limited (“the Company”, or “Moniepoint MFB”, or, “we”, “our”, or, “us”’), a company incorporated under the laws of the Federal Republic of Nigeria, pursuant to a license granted to the Company by the applicable platform rights holder. The Company is authorised under the terms of that license, to administer, sub-license, and allocate access to and use of the Platform (defined below) to Users in connection with the provision of the Services (defined below). The Company’s authority to grant such access is derived from and subject to the terms of the license under which it operates and, and nothing in these Terms of Service (“Terms”) shall be construed as a transfer or assignment of any proprietary rights in the Platform to any User.
All intellectual property rights in and to the Platform, including all underlying technology, software, content, and associated materials and associated materials, are owned by or vest in the applicable rights holder. All rights not expressly granted to you in these Terms remain reserved by the applicable rights holder.
Please read these Terms of Service (“Terms”), which set forth the legally binding terms and conditions between you and Moniepoint MFB. It governs your access to and use of the Orda.africa website, software application and the services provided by Moniepoint MFB to you.
Our collection and use of any personal information you provide to us in connection with your use of our services is described in https://moniepoint.com/ng/privacy-policy
Your access to our services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all customers, merchants or service providers who access or use our services.
Our website is not directed at you if we are prohibited by any law of any jurisdiction from making the information on our website available to you and is not intended for any use that would be contrary to your local law or regulation.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms then you may not access our services.
1. Definitions
In these Terms,
Account
means a unique personified account registered in the name of the User and which contains details of the User’s transactions/operations on the Platform and Software (as defined below).
Applicable Laws
means all applicable regulations, laws, codes, guidelines, policies, rules, and directives of any competent regulatory authority in Nigeria, and any other applicable jurisdiction.
Device
means the point-of-sale device and other hardware through which the Service may be accessed.
Merchant
means a restaurant owner.
Platform
means the website accessible at Orda.africa.
Service(s)
means all services provided by Moniepoint MFB and as described in clause 3 of these Terms.
Software
means the web and mobile application developed by Moniepoint MFB for restaurant operations management.
User
means all customers, merchants and service providers that use the Service.
2. Acceptance of Terms
Our Services are offered subject to acceptance of all the terms and conditions contained in these Terms and all other operating rules, policies, and procedures that may be published on the Platform or signed as an agreement with you, which are incorporated by reference, including operating rules, policies, and procedures of third-party service providers to the Platform that are referenced herein. These Terms apply to all vendors, customers and service providers that we onboard on our Platform. In addition, some Services offered through the Platform and the Software may be subject to additional terms and conditions adopted by the Platform and the Software. Your use of those services is subject to those additional terms and conditions, which are incorporated into these Terms by this reference.
Moniepoint MFB reserves the right, at its sole discretion, to modify or replace these Terms from time to time by posting the updated terms on the Platform. It is your responsibility to check the Terms periodically for changes. If you object to any such changes, your sole recourse will be to cease using the Platform and the Service. Your continued use of the Service following the posting of any changes to the Terms will indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
Moniepoint MFB reserves the right to change, suspend, or discontinue the Service (including, but not limited to, the availability of any feature, database, or content) at any time for any reason. Moniepoint MFB may also impose limits on certain features and Services or restrict your access to parts of or the entire Platform without notice or liability.
3. Scope of Services
- 3.1 Moniepoint MFB is a financial technology company that provides cloud-based restaurant management solutions to African chefs and food business owners. The restaurant management solutions include point of sale, omni-channel, microsite, credit/lending, business analytics, inventory and recipe management systems.
- 3.2 The Services can be accessed through the Platform and the Software.
4. Account
- 4.1 Moniepoint MFB may make the access to the Platform and the Services, or certain areas or features of the Platform, subject to certain conditions or requirements, such as meeting specific eligibility criteria.
- 4.2 To access our Services as a Merchant, you are required to execute a Vendor Agreement with Moniepoint MFB and provide us with the following information to enable us onboard you on the Platform and set up an account with Moniepoint MFB (“Moniepoint MFB Account”) for you on the Platform:
- 4.2.1 Your name, email address and phone number
- 4.2.2 The name of your restaurant
- 4.2.3 The location of your restaurant
- 4.2.4 Images of your food menus
- 4.2.5 The services you require from Moniepoint MFB
- 4.3 You are responsible for safeguarding the password that you use to access our Service on our Platform or through our Software.
- 4.4 You may not use as a username, the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
- 4.5 You agree to strictly observe the security and authentication procedures of the Platform and the Software.
- 4.6 When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account on the Platform and the Service.
5. Users’ Representations and Warranties
Representations and warranties are statements and promises made by you to Moniepoint MFB which we rely on as being accurate in our dealings with you. You make the following representations and warranties to us at the time of agreeing to these Terms and every time you use our Service;
- 5.1 your company is duly registered under the laws of the country of its incorporation;
- 5.2 all information that you provide us about your restaurant is accurate;
- 5.3 where required, you have obtained the consent of your customers to share their personal data with us;
- 5.4 all content, images and designs that you share on the Platform or the Software do not infringe the intellectual property of any person;
- 5.5 by using our Service, you are not breaching any Applicable Laws or regulations that are applicable to you or any company, trust or partnership.
6. Users’ Representations and Warranties
Representations and warranties are statements and promises made by you to Moniepoint MFB which we rely on as being accurate in our dealings with you. You make the following representations and warranties to us at the time of agreeing to these Terms and every time you use our Service;
- 6.1 Subscription Plans. The Service or some parts of the Service are available only with a paid subscription. You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of subscription plan you opt for.
- 6.2 Free Trial. The Company may, at its sole discretion, offer a subscription with a free trial for a limited period of time. You may be required to enter your billing information in order to sign up for the free Trial. If you do enter your billing information when signing up for a free trial, you will not be charged by the Company until the free trial has expired. On the last day of the free trial period, unless you cancel your subscription, your Moniepoint MFB Account will be automatically charged the applicable subscription fees for the type of subscription you have selected.
- 6.3 Devices. Access to the Services requires Merchants to obtain a Device, which can be purchased directly from Moniepoint MFB or individually by the Merchants. Devices purchased from Moniepoint MFB can be paid for outrightly or in installments. Except where technical faults are discovered and reported within 2 (two) weeks of Monipoint MFB delivering the Device to the Merchants, all Devices purchased from Moniepoint MFB are non-returnable and payments made for the Devices are non-refundable.
7. Payment
- 7.1 You can make payment for any subscription plans you opt for by funding your Moniepoint MFB Account and authorizing us to automatically charge your wallet with the applicable subscription fees.
- 7.2 Should automatic billing fail to occur for any reason or where you prefer us to send you an invoice with the subscription fees, Moniepoint MFB will issue you an electronic invoice indicating applicable fees, the payment deadline and the corresponding to the billing period.
- 7.3 You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information.
- 7.4 Depending on your location, you might be charged sales tax or value-added tax (VAT) when you purchase any of our subscription plans.
- 7.5 The Company, in its sole discretion and at any time, may modify its subscription fees. Any subscription fee change will become effective at the end of the then-current Subscription period. The Company will provide you with reasonable prior notice of any change in subscription fees to give you an opportunity to terminate your subscription before such change becomes effective. Your continued use of the Service after the subscription fee change comes into effect constitutes your agreement to pay the modified subscription fee.
8. Refunds
- 8.1 Except when required by any Applicable Law, paid subscription fees are non-refundable. Certain refund requests for subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.
- 8.2 Payments made for any Device purchased from Moniepoint MFB are non-refundable and any outstanding payment to be made for any Device shall be regarded as a debt owed to Moniepoint MFB.

9. Intellectual Property
- 9.1 The Service, the Software, the Platform and all rights in our product name, trade names, logos, service marks, slogans, product packaging, its original content, features and functionality are and will remain the exclusive property of Moniepoint MFB . Our trademarks may not be used in connection with any product or service without our prior written consent.
- 9.2 Moniepoint MFB may, at its sole discretion, enable you to (i) create, upload, post, send, receive and store content, such as text, photos, audio, video, or other materials and information on or through the Platform (“User Content”); and (ii) access and view User Content and any content that Moniepoint MFB itself makes available on or through the Platform, including proprietary content and any content licensed or authorized for use by or through Moniepoint MFB from a third party “Moniepoint MFB Content” and together with User Content, “Collective Content”).
- 9.3 You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Platform or Collective Content, except to the extent that you are the legal owner of certain User Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Moniepoint MFB or its licensors, except for the licenses and rights expressly granted in these Terms.
- 9.4 Subject to your compliance with these Terms, Moniepoint MFB grants you a limited, non-exclusive, non-sub licensable, revocable, non-transferable license to access and view any Collective Content made available on or through the Platform and accessible to you, solely for your personal and non-commercial use.
- 9.5 You shall not directly or indirectly: (i) decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the extent Applicable Laws specifically prohibit such restriction; (ii) modify, translate, or otherwise create derivative works of any part of the Service; or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder.
10. No Exclusivity
These Terms nor the provision of the Services, shall in any way limit the ability of Moniepoint MFB to provide similar services to other companies who are your competitors.
11. Prohibited Activities
- 11.1 You shall not use the Platform or the Services for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Service. Violation of our rules may result in the termination and cancellation of your Account. You acknowledge and agree that we may terminate your Account at any time for any reason (including, but not limited to, our independent assessment or the receipt of claims or allegations from third parties or authorities).
- 11.2 You shall not utilize the Platform or the Services for any illegal purpose.
- 11.3 You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Services. In connection with your use of the Platform, you will not and will not assist or enable others to:
- 11.3.1 breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or our Terms;
- 11.3.2 use the Platform or any content therein for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies endorsement, partnership or otherwise misleads others as to your affiliation with Moniepoint MFB;
- 11.3.3 copy, store or otherwise access or use any information, including personally identifiable information about any other User, contained on the Platform in any way that is inconsistent with our Privacy Policy or these Terms or that otherwise violates the privacy rights of Users or third parties;
- 11.3.4 use the Platform in connection with the distribution of unsolicited commercial messages (“spam”);
- 11.3.5 discriminate against or harass anyone on the basis of race, tribe, origin, religion, gender, physical or mental disability, medical condition, marital status, or age, or otherwise engage in any abusive or disruptive behaviour;
- 11.3.6 use, display, mirror or frame the Platform or Collective Content, or any individual element within the Platform, Moniepoint MFB’s name, any trademark, logo or other proprietary information belonging to Moniepoint, or the layout and design of any page or form contained on a page in the Platform, without Moniepoint MFB’s express written consent;
- 11.3.7 dilute, tarnish or otherwise harm Moniepoint MFB’s brand in any way, including through unauthorized use of Collective Content, registering and/or using derivative terms in domain names, trade names, trademarks or other source identifiers, or registering and/or using domains names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to Moniepoint MFB’s domains, trademarks, taglines, promotional campaigns or Collective Content;
- 11.3.8 use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the Platform for any purpose;
- 11.3.9 avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Moniepoint MFB or any of Moniepoint MFB’s providers or any other third party to protect the Platform;
- 11.3.10 attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Platform;
- 11.3.11 take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Platform;
- 11.3.12 violate or infringe anyone else’s rights or otherwise cause harm to anyone.
- 11.4 You acknowledge that Moniepoint MFB has no obligation to monitor the access to or use of the Platform by any User or to review, disable access to, or edit any User Content, but has the right to do so to (i) operate, secure and improve the Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Users’ compliance with these Terms; (iii) comply with Applicable Law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) respond to User Content that it determines is harmful or objectionable; or (v) as otherwise set forth in these Terms. Users agree to cooperate with and assist Moniepoint MFB in good faith, and to provide Moniepoint MFB with such information and take such actions as may be reasonably requested by Moniepoint MFB with respect to any investigation undertaken by Moniepoint MFB or a representative of Moniepoint MFB regarding the use or abuse of the Platform.
12. Links to Other Websites
- 12.1 Our Platform, Software and Service may contain links to third-party websites or services that are not owned or controlled by Moniepoint MFB.
- 12.2 Moniepoint MFB has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Moniepoint MFB shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
13. Termination
- 13.1We may terminate or suspend our Service to you immediately, without prior notice or liability, for any reason whatsoever, including without limitation, if you breach these Terms.
- 13.2Upon termination, your right to use the Platform and our Service will immediately cease. If you wish to terminate your transaction, you may simply send an email to [email protected]
14. Indemnity
You agree to indemnify and hold harmless Moniepoint MFB, its affiliates and subsidiaries, its officers, directors, employees and agents, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:
- 14.1your fraudulent or illegal use of the Services or the Platform;
- 14.2your negligence or any default by you of any of these Terms;
- 14.3any inaccurate or incomplete information that you have knowingly provided to us;
- 14.4you allowing any other person to access your Account either with your permission or as a result of your failure to keep your username and password private;
- 14.5 any claim made against you for actual or alleged infringement of Moniepoint MFB’s intellectual property or any actual or alleged infringement of a third party’s intellectual property arising out of or in connection with our Services or your use of the Platform.
15. Limitation of Liability
15.1 In no event shall Moniepoint MFB, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- a. your use of the Platform or the Services or your inability to use the Platform or the Services;
- b. any conduct or content of any third party on the Platform;
- c.any unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose;
- d. any legal proceedings between you and any third parties.
15.2 To the maximum extent permitted by applicable law, our entire liability, and that of our affiliates and suppliers for all claims relating to the terms of use shall be limited to the amount you paid for the services during the one (1) month prior to such claim. Subject to Applicable Law, we, our affiliates and suppliers are not liable for any of the following: (a) Indirect, special, incidental, exemplary, punitive or consequential damages, as more particularly provided in clause 15.1 above (b) Damages relating to failures of telecommunications, the internet, electronic communications, corruption, security, loss or theft of data, viruses, spyware, loss of business, revenue, profits or investment, or use of software or hardware that does not meet our systems requirements. The above limitations apply even if we and our affiliates and suppliers have been advised of the possibility of such damages. This agreement sets forth our entire liability, our affiliates and your exclusive remedy with respect to the services and its use.
16. Disclaimer
- 16.1 Your use of the Service is at your sole risk. The Platform and Software is provided on an “AS IS” and “AS AVAILABLE” basis. The Platform and Software is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
- 16.2 Moniepoint MFB, its subsidiaries, affiliates, and its licensors do not warrant that a) the Platform and Software will function uninterrupted, or be secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Platform is free of viruses or other harmful components; or d) the results of using the Platform and Software will meet your requirements.
17. Governing Law
- 17.1 These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
- 17.2 Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
18. Dispute Resolution
If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally and amicably by contacting us at [email protected]
18.1 Accordingly, any dispute arising out of or in connection with the interpretation of the provisions of these Terms shall be resolved by mutual consultation and negotiation between the Parties.
18.2 Where a dispute is not resolved within ten (10) days, the dispute shall be referred to mediation at the Lagos State Multidoor Courthouse (“LMDC”), and such mediation shall be conducted in accordance with the Arbitration and Mediation Act 2023 and LMDC rules.
18.3 The mediation shall be conducted by a sole mediator appointed by a consensus of the Parties hereto, or failing such consensus, by the Chief Judge of Lagos State, Nigeria.
18.4 This clause shall not preclude either Party from obtaining interim reliefs on an urgent basis from a court of competent jurisdiction pending the decision of the mediator.
18.5 The mediator may, in any dispute in which any matter of a technical or financial nature is relevant, appoint an assessor having the requisite experience to assist the mediator in the mediation process.
18.6 The provisions of this clause:
18.6.1. constitute an irrevocable consent by each Party to any proceedings in terms hereof and no Party shall be entitled to withdraw there from or claim at any such proceedings that it is not bound by those provisions; and
18.6.2. are severable from the rest of these Terms, and shall remain in effect despite the termination of or invalidity of these Terms for any reason.
19. Force Majeure
Moniepoint MFB shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to natural disasters, war, riot, civil commotion, weather, pandemics, epidemics, labour disputes, failure of sub-contractors or any other cause beyond its reasonable control and whether or not of a similar nature to the foregoing.

We welcome and encourage you to provide feedback, comments and suggestions for improvements to Moniepoint MFB’s Platform or Services. You may submit your feedback by emailing us at [email protected]. Any feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting your feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.

Moniepoint MFB reserves the right, in its sole discretion, to change these Terms. Moniepoint MFB encourages you to periodically review the Terms to stay informed of our updates.

23. Assignment
Moniepoint MFB may assign, transfer, or otherwise deal with its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or third party without prior notice to you. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent, which may be withheld at our sole discretion.
