Terms of Service 

The orda.africa platform is made available to Users (defined below) by Moniepoint Microfinance Bank Limited (“the Company”, or “Moniepoint MFB”, or, “we”, “our”, or, “us”’), a company incorporated under the laws of the Federal Republic of Nigeria, pursuant to a license granted to the Company by the applicable platform rights holder. The Company is authorised under the terms of that license, to administer, sub-license, and allocate access to and use of the Platform (defined below) to Users in connection with the provision of the Services (defined below). The Company’s authority to grant such access is derived from and subject to the terms of the license under which it operates and, and nothing in these Terms of Service (“Terms”) shall be construed as a transfer or assignment of any proprietary rights in the Platform to any User. 

All intellectual property rights in and to the Platform, including all underlying technology, software, content, and associated materials and associated materials, are owned by or vest in the applicable rights holder. All rights not expressly granted to you in these Terms remain reserved by the applicable rights holder. 

Please read these Terms of Service (“Terms”), which set forth the legally binding terms and conditions between you and Moniepoint MFB. It governs your access to and use of the Orda.africa website, software application and the services provided by Moniepoint MFB to you.

Your access to our services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all customers, merchants or service providers who access or use our services.

Our website is not directed at you if we are prohibited by any law of any jurisdiction from making the information on our website available to you and is not intended for any use that would be contrary to your local law or regulation.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms then you may not access our services.

1. Definitions

In these Terms,

Account

means a unique personified account registered in the name of the User and which contains details of the User’s transactions/operations on the Platform and Software (as defined below).

Applicable Laws

means all applicable regulations, laws, codes, guidelines, policies, rules, and directives of any competent regulatory authority in Nigeria, and any other applicable jurisdiction.

Device

means the point-of-sale device and other hardware through which the Service may be accessed.

Merchant

means a restaurant owner.

Platform

means the website accessible at Orda.africa.

Service(s)

means all services provided by Moniepoint MFB and as described in clause 3 of these Terms.

Software

means the web and mobile application developed by Moniepoint MFB for restaurant operations management.

User

means all customers, merchants and service providers that use the Service.

2. Acceptance of Terms

Our Services are offered subject to acceptance of all the terms and conditions contained in these Terms and all other operating rules, policies, and procedures that may be published on the Platform or signed as an agreement with you, which are incorporated by reference, including operating rules, policies, and procedures of third-party service providers to the Platform that are referenced herein. These Terms apply to all vendors, customers and service providers that we onboard on our Platform. In addition, some Services offered through the Platform and the Software may be subject to additional terms and conditions adopted by the Platform and the Software. Your use of those services is subject to those additional terms and conditions, which are incorporated into these Terms by this reference.

Moniepoint MFB reserves the right, at its sole discretion, to modify or replace these Terms from time to time by posting the updated terms on the Platform. It is your responsibility to check the Terms periodically for changes. If you object to any such changes, your sole recourse will be to cease using the Platform and the Service. Your continued use of the Service following the posting of any changes to the Terms will indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

Moniepoint MFB reserves the right to change, suspend, or discontinue the Service (including, but not limited to, the availability of any feature, database, or content) at any time for any reason. Moniepoint MFB may also impose limits on certain features and Services or restrict your access to parts of or the entire Platform without notice or liability.

You agree to indemnify and hold harmless Moniepoint MFB, its affiliates and subsidiaries, its officers, directors, employees and agents, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:

15. Limitation of Liability

15.1 In no event shall Moniepoint MFB, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

15.2    To the maximum extent permitted by applicable law, our entire liability, and that of our affiliates and suppliers for all claims relating to the terms of use shall be limited to the amount you paid for the services during the one (1) month prior to such claim. Subject to Applicable Law, we, our affiliates and suppliers are not liable for any of the following: (a) Indirect, special, incidental, exemplary, punitive or consequential damages, as more particularly provided in clause 15.1 above (b) Damages relating to failures of telecommunications, the internet, electronic communications, corruption, security, loss or theft of data, viruses, spyware, loss of business, revenue, profits or investment, or use of software or hardware that does not meet our systems requirements. The above limitations apply even if we and our affiliates and suppliers have been advised of the possibility of such damages. This agreement sets forth our entire liability, our affiliates and your exclusive remedy with respect to the services and its use.

18. Dispute Resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally and amicably by contacting us at [email protected]

18.1 Accordingly, any dispute arising out of or in connection with the interpretation of the provisions of these Terms shall be resolved by mutual consultation and negotiation between the Parties.

18.2 Where a dispute is not resolved within ten (10) days, the dispute shall be referred to mediation at the Lagos State Multidoor Courthouse (“LMDC”), and such mediation shall be conducted in accordance with the Arbitration and Mediation Act 2023 and LMDC rules.

18.3 The mediation shall be conducted by a sole mediator appointed by a consensus of the Parties hereto, or failing such consensus, by the Chief Judge of Lagos State, Nigeria.

18.4 This clause shall not preclude either Party from obtaining interim reliefs on an urgent basis from a court of competent jurisdiction pending the decision of the mediator.

18.5 The mediator may, in any dispute in which any matter of a technical or financial nature is relevant, appoint an assessor having the requisite experience to assist the mediator in the mediation process.

18.6 The provisions of this clause:

18.6.1. constitute an irrevocable consent by each Party to any proceedings in terms hereof and no Party shall be entitled to withdraw there from or claim at any such proceedings that it is not bound by those provisions; and

18.6.2. are severable from the rest of these Terms, and shall remain in effect despite the termination of or invalidity of these Terms for any reason.

19. Force Majeure

Moniepoint MFB shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to natural disasters, war, riot, civil commotion, weather, pandemics, epidemics, labour disputes, failure of sub-contractors or any other cause beyond its reasonable control and whether or not of a similar nature to the foregoing.

We welcome and encourage you to provide feedback, comments and suggestions for improvements to Moniepoint MFB’s Platform or Services. You may submit your feedback by emailing us at [email protected]. Any feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting your feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.

21. Changes to Terms & Conditions

Moniepoint MFB reserves the right, in its sole discretion, to change these Terms. Moniepoint MFB encourages you to periodically review the Terms to stay informed of our updates.

23. Assignment

Moniepoint MFB may assign, transfer, or otherwise deal with its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or third party without prior notice to you. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent, which may be withheld at our sole discretion.
